The Website and all Content are provided on an "as is" and "as available" basis without any warranty or condition of any kind. Such Third-Party Links are provided solely for your convenience and informational purposes and do not constitute an endorsement, approval, sponsorship, recommendation, or warranty by the Company of any third-party website, its operators, or any content, products, or services offered therein.

The Company has no control over and assumes no responsibility for the content, privacy policies, data practices, terms of use, security measures, or availability of any third-party websites or resources. The Company does not endorse, warrant, or assume any responsibility or liability for any third-party content, products, services, or materials accessed through or linked from this Website.

You acknowledge and agree that your use of any Third-Party Links is at your own sole risk and subject to the terms and conditions of use applicable to such third-party websites or resources. The Company shall not be liable, directly or indirectly, for any damage, loss, or liability arising from or related to your use of or reliance on any content, products, or services obtained through any Third-Party Links. You are strongly encouraged to review the terms of use and privacy policies of all third-party websites before interacting with them or providing any personal information.

8. Limitation of Liability

To the maximum extent permitted by applicable law, including the Polish Civil Code (Ustawa Kodeks Cywilny) and any other applicable legislation, in no event shall the Company, its directors, officers, shareholders, partners, members, employees, agents, representatives, contractors, advisors, affiliates, successors, or assigns (collectively, the "Company Parties") be liable for any of the following, whether based in contract, tort (including negligence and strict liability), breach of statutory duty, misrepresentation, or any other legal theory:

The aggregate total liability of the Company Parties to you for all claims arising out of or relating to these Terms, the Website, or your use of the Website, whether based in contract, tort, or any other legal theory, shall not exceed the greater of: (a) the total amount of EUR 100 (one hundred Euros) or its equivalent in the applicable local currency at the time the claim arises; or (b) the amount actually paid by you, if any, to the Company for access to or use of the Website during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations and exclusions of liability set forth in this Section 8 shall apply regardless of whether the Company Parties have been advised of the possibility of such damages, and regardless of whether any limited remedy provided herein fails of its essential purpose. Nothing in these Terms shall limit or exclude liability for fraud, wilful misconduct, or any liability that cannot be limited or excluded under applicable law, including any mandatory provisions of Polish consumer protection law.

9. Disclaimer of Warranties

To the fullest extent permitted by applicable law, including the Polish Civil Code and any applicable consumer protection legislation, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to the following warranties:

  1. The warranty that the Website will be available, accessible, uninterrupted, timely, secure, or error-free at all times or at any specific time;
  2. The warranty that the Website, its servers, infrastructure, or any communications or transmissions are free from viruses, malware, Trojan horses, worms, or other harmful components;
  3. The warranty that the Content is accurate, complete, current, reliable, or suitable for any particular purpose or for any specific use case;
  4. The warranty that any results, outcomes, or performance indicators described or implied on the Website will be achieved, replicated, or maintained by any User;
  5. The warranty that the Website will be compatible with any particular device, operating system, browser, software, or hardware configuration;

  7. The warranty that any defects, errors, or omissions in the Website or its Content will be corrected, resolved, or remedied within any particular timeframe or at all;
  8. The warranty that the Website and its Content comply with the laws, regulations, or standards of any jurisdiction other than Poland, unless expressly stated otherwise in a separate agreement.

You acknowledge and agree that your use of the Website is at your sole and absolute risk. You assume full responsibility for any damage to your computer system, mobile device, network, software, data, or other property that may result from your access to, use of, or downloading of any Content from the Website. No advice, information, or communication obtained from the Company or through the Website shall create any warranty not expressly stated in these Terms.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company Parties from and against any and all claims, actions, proceedings, demands, liabilities, losses, damages, costs, expenses (including reasonable legal fees and court costs), fines, penalties, and any other amounts arising out of or relating to: (a) your access to, use of, or misuse of the Website or any Content; (b) your breach of any provision of these Terms; (c) your violation of any applicable law, regulation, ordinance, or governmental order; (d) your violation or infringement of any intellectual property right, privacy right, publicity right, or other proprietary right of any third party; (e) any Submission or communication you make through or in connection with the Website; (f) any negligent, reckless, or wrongful act or omission on your part; or (g) any third-party claims arising from your actions or omissions in connection with the Website.

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate fully with the Company in asserting any available defenses. You shall not settle any claim or matter subject to indemnification without the Company's prior written consent, which shall not be unreasonably withheld. The obligations under this Section 10 shall survive the termination or expiry of these Terms and your cessation of use of the Website.

11. Privacy Policy

Your access to and use of this Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how the Company collects, processes, stores, shares, and protects your personal data in connection with your use of the Website, in compliance with Regulation (EU) 2016/679 (General Data Protection Regulation or GDPR), the Polish Act on Personal Data Protection of 10 May 2018 (Ustawa o Ochronie Danych Osobowych), and any other applicable data protection legislation.

By using this Website, you consent to the collection and processing of your personal data as described in the Privacy Policy. If you do not agree with the practices described therein, you should not use this Website. For any questions, requests, or concerns regarding the processing of your personal data, please contact us at info@gamodin.com or write to our registered address at ul. Chocimska 3A, 00-791 Warszawa, Poland.

12. Force Majeure

The Company shall not be liable for any failure, delay, interruption, disruption, or inability to perform any obligation under these Terms, or any inability to make the Website available, to the extent that such failure, delay, or inability is caused by circumstances beyond the reasonable control of the Company, including but not limited to acts of God, natural disasters, earthquakes, floods, storms, hurricanes, tornadoes, fires, droughts, epidemics, pandemics, public health emergencies, quarantine restrictions, war, armed conflict, terrorism, insurrection, civil unrest, riots, armed rebellion, coup d'état, strikes, lockouts, labour disputes, industrial action, government sanctions, embargoes, trade restrictions, import or export controls, regulatory changes or actions, nuclear, chemical, or biological contamination, cyberattacks, distributed denial-of-service attacks, ransomware, hacking, power outages, electricity failures, telecommunications failures, internet service disruptions, hardware failures, software defects, data breaches not attributable to the Company's negligence, fire, explosion, structural collapse, chemical spill, and any other event or circumstance of a similar nature or force.

In the event of a force majeure event, the Company shall use reasonable efforts to mitigate the effects thereof and to resume performance of its obligations as soon as reasonably practicable. The Company shall provide notice of a force majeure event to affected Users as soon as reasonably practicable, specifying the nature of the event, its estimated duration, and the measures being taken to address it. Neither party shall be entitled to terminate these Terms solely by reason of a force majeure event, unless such event continues for a period exceeding ninety (90) consecutive days.

13. Severability

If any provision, clause, sub-clause, or part of these Terms is held by any court of competent jurisdiction, arbitrator, or regulatory authority to be invalid, illegal, void, unenforceable, or contrary to public policy for any reason whatsoever, such provision shall be modified, interpreted, or reformed to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent, purpose, and economic effect to the greatest extent possible.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, and all other provisions shall remain in full force and effect. The parties expressly agree that the remaining provisions of these Terms shall continue in full force and effect, and that the invalid provision shall be modified to the minimum extent required to render it valid and enforceable without fundamentally altering the parties' original bargain or the balance of rights and obligations under these Terms.

14. Waiver

No failure, delay, or omission by the Company in exercising any right, remedy, power, privilege, or remedy available to it under these Terms or at law shall operate as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power, privilege, or remedy preclude any other or further exercise thereof or the exercise of any other right, remedy, power, privilege, or remedy.

Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of the Company. No waiver shall be deemed a continuing waiver of the same or any other provision of these Terms unless expressly stated therein. The rights and remedies of the Company under these Terms are cumulative and are in addition to (and not in limitation of) any rights and remedies available to the Company at law, in equity, under any statute, or under any other agreement.

15. Governing Law and Jurisdiction

These Terms and any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the use thereof shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict-of-laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Subject to the mandatory consumer protection provisions set forth below, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of Warszawa (Sąd Okręgowy w Warszawie or Sąd Rejonowy w Warszawie, as appropriate), and the parties hereby irrevocably submit to the exclusive jurisdiction of such courts.

Notwithstanding the foregoing, nothing in this Section 15 shall deprive a User who is a consumer within the meaning of the Polish Civil Code of the protections afforded by mandatory provisions of Polish consumer protection law. Pursuant to Article 22(1) of the Polish Civil Code and other applicable legislation, a consumer may, at their sole discretion, choose to bring proceedings before the court of competent jurisdiction over their place of residence or domicile. The Company undertakes to inform consumers of their right to seek resolution of disputes through out-of-court dispute resolution mechanisms, including through the European Online Dispute Resolution (ODR) platform accessible at https://ec.europa.eu/consumers/odr.

Users may also contact the relevant municipal or provincial consumer protection authority (Powiatowy/Miejski Rzecznik Konsumentów) for assistance in resolving disputes with the Company as a business entity.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other policies, guidelines, disclaimers, or rules posted on the Website or referenced herein, constitute the entire and exclusive agreement between you and GAMODIN SZOO with respect to the subject matter hereof, and supersede, replace, and extinguish all prior and contemporaneous agreements, understandings, negotiations, discussions, representations, warranties, commitments, offers, and communications, whether written or oral, relating to the same subject matter.

No oral or written information or advice given by the Company, its employees, agents, or representatives shall create or be construed as creating any warranty, obligation, or liability not expressly set forth in these Terms. You acknowledge that you have not relied on any representation, warranty, or undertaking not expressly set out in these Terms, and that you have had the opportunity to obtain independent legal advice regarding these Terms prior to accepting them.

In the event of any conflict or inconsistency between these Terms and any other terms, conditions, or policies posted on or referenced through the Website, these Terms shall prevail to the extent of such conflict, unless otherwise expressly stated in a written agreement between you and the Company.

17. Assignment

You may not assign, transfer, delegate, subcontract, or otherwise dispose of any of your rights, interests, or obligations under these Terms, whether in whole or in part, by operation of law, merger, acquisition, change of control, or otherwise, without the prior written consent of the Company. Any purported assignment, transfer, or delegation in violation of this Section shall be null and void and of no legal effect.

The Company reserves the right, without restriction or prior consent, to freely assign, transfer, delegate, subcontract, novate, or otherwise dispose of any or all of its rights, interests, and obligations under these Terms, in whole or in part, to any affiliate, subsidiary, successor-in-interest, acquiring entity, or any other third party, in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all of its assets, or any similar transaction. The Company shall use reasonable efforts to provide notice of any such assignment to affected Users.
